1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Autroid Technologies ("Autroid", "Company", "we", "us", "our") governing your access to and use of the Autroid SaaS platform, APIs, mobile applications, and all associated services (collectively, the "Service"), available at app.autroid.com.

By registering for an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

2. Description of the Service

Autroid is an AI-native Business OS built for companies ready to break operational limits and scale exponentially. The Service includes the following operational components:

Workshop Management System (WMS) — Booking management, job card lifecycle, estimation and approval, quality inspection, gate passes, and pick-and-drop logistics.
Revenue Origination — Lead capture, pipeline management, lead scoring, follow-up scheduling, service reminders, and NPS tracking.
Invoicing & Finance — GST-compliant invoicing, payment recording, credit/debit notes, expense tracking, payables, receivables, and financial reporting.
Procurement & Inventory — Purchase bills, purchase orders, goods receipt notes, supplier management, stock movements, and a ledger-based inventory architecture.
Human Resources — Attendance, payroll computation, payslip generation, leave management, loans, advances, training programs, and document management.
Marketing Engine — WhatsApp broadcast campaigns, loyalty programs, referral programs, coupon management, and content management.
Ads Integration — Connection to Google Ads and Meta Ads accounts to display campaign performance, spend analytics, and hybrid ROAS within the platform.
Analytics & Reporting — Dashboard analytics covering workshop throughput, revenue, team performance, and customer lifecycle metrics.
Global Search & Command Centre — Unified cross-entity search across customers, vehicles, bookings, invoices, bills, and sales orders.
Mobile Application — Android app providing field access to job cards, attendance, tasks, notifications, and communications.

Autroid reserves the right to add, modify, suspend, or discontinue any feature or component at any time. We will endeavour to provide reasonable advance notice for material changes.

3. Account Registration & Access

3.1 Organization Accounts

Autroid is a B2B SaaS platform. Access is granted at the organization level. Each organization receives a data-isolated environment identified by a unique businessId. The organization's administrator is responsible for managing team members, assigning roles, and configuring access permissions using Autroid's role-based access control (RBAC) system.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are solely responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@autroid.ai if you suspect unauthorized access to your account.

3.3 Multi-Branch & Group Accounts

Organizations with multiple branches may configure a Group to share certain data (customers, vehicles, loyalty programs) across branches while maintaining branch-level financial and operational isolation. Group-level data sharing is configured by administrators and governed by Autroid's multi-tenancy architecture.

4. Subscription, Fees & Payment

The Service is provided on a subscription basis. Applicable pricing, plan features, and billing cycles are communicated at the time of subscription or renewal.
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan.
All fees are exclusive of applicable taxes (including GST). You are responsible for any taxes applicable to your subscription in your jurisdiction.
Payments are processed by our third-party payment partner. We do not store full card details on our servers.
Subscription fees are non-refundable except as required by applicable law or as expressly agreed in writing.
Autroid reserves the right to modify pricing with at least 30 days' prior written notice. Continued use of the Service after the effective date constitutes acceptance of the revised pricing.
Failure to pay subscription fees may result in suspension or termination of access to the Service.

5. Acceptable Use

You agree to use the Service only for lawful business purposes in accordance with these Terms. You must not:

Use the Service to violate any applicable local, state, national, or international law or regulation.
Attempt to gain unauthorized access to any part of the Service, its infrastructure, databases, or other users' accounts.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service.
Transmit viruses, malware, ransomware, or any other harmful, disruptive, or destructive code.
Use the Service to send unsolicited bulk communications (spam), including via the WhatsApp or campaign modules.
Scrape, harvest, or extract data from the platform through automated means without express written permission.
Interfere with or disrupt the integrity, availability, or performance of the Service or its underlying infrastructure.
Use the Service to store or transmit content that is defamatory, obscene, fraudulent, or that infringes on any third party's rights.
Share your login credentials with unauthorized individuals or allow simultaneous multi-user access on a single account.
Use the Service to process or store data beyond your authorized organization scope.

Autroid reserves the right to suspend or terminate accounts that violate this Acceptable Use policy, without prior notice in cases involving security threats or legal violations.

6. Data Ownership & License

6.1 Your Data

All business data you enter into the Service ("Your Data") — including customer records, vehicle information, financial records, HR data, and inventory data — remains your exclusive property. We make no claim of ownership over Your Data.

You grant Autroid a limited, non-exclusive, worldwide, royalty-free license to process, store, and use Your Data solely to: (a) provide and operate the Service; (b) respond to your support requests; and (c) comply with legal obligations. This license terminates when you delete your data or close your account, subject to legal retention requirements.

6.2 Data Export

Autroid provides data export functionality within the platform. You may export your data in CSV or other available formats at any time during your active subscription. Upon subscription termination, a 30-day window is provided for final data export before permanent deletion.

6.3 Autroid Intellectual Property

The Service — including its software, design, user interface, code, features, branding, logos, documentation, and APIs — is the exclusive intellectual property of Autroid Private Limited. Nothing in these Terms grants you any right to copy, modify, distribute, sell, sub-license, or create derivative works from any part of the Service without prior written consent.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in the course of the business relationship ("Confidential Information"). Autroid will treat Your Data as Confidential Information and will not disclose it except as permitted under these Terms and our Privacy Policy. You agree not to disclose Autroid's proprietary technical or commercial information to third parties.

8. Third-Party Integrations

The Service integrates with third-party platforms including Google Ads, Meta (Facebook) Ads, WhatsApp Business API (via MessageBird), and Firebase Cloud Messaging. By connecting these integrations, you acknowledge and agree that:

You authorize Autroid to access data from those platforms on your behalf using OAuth 2.0 or equivalent authorization protocols.
You are solely responsible for complying with the terms of service, advertising policies, and data use restrictions of each third-party platform.
Autroid is not responsible for the availability, pricing, performance, accuracy, or policies of any third-party service.
You may disconnect any integration at any time via the Autroid Settings panel, which immediately revokes our access token.
For compliance with Google's API Services User Data Policy and Meta's Platform Terms, Autroid uses accessed data exclusively to display it back to you within your organization's Autroid dashboard and for no other purposes.

9. Service Availability & Support

Autroid targets 99.9% monthly uptime for the core platform. However, we do not guarantee uninterrupted or error-free service availability.

Scheduled maintenance will be communicated in advance whenever possible.
Emergency maintenance may be performed without prior notice to address critical security vulnerabilities or system failures.
Downtime caused by third-party services (cloud providers, ad platforms, WhatsApp API) outside Autroid's control does not count toward any service level commitments.

10. Disclaimers & Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

Autroid does not warrant that: (a) the Service will operate uninterrupted, error-free, or securely at all times; (b) defects will always be corrected; (c) the Service is free from viruses or harmful components; or (d) any data or reports generated by the Service will be accurate or reliable for all purposes. Financial data, reports, and calculations generated by Autroid are tools to assist your business — you remain responsible for verifying accuracy before relying on any output for legal, tax, or audit purposes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTROID TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING FROM OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF AUTROID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTROID'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AUTROID IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, Autroid's liability shall be limited to the greatest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Autroid Private Limited and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

Your violation of these Terms or any applicable law or regulation.
Your use or misuse of the Service, including any data you upload or transmit through the platform.
Any content you submit, post, or make available through the Service.
Your violation of any third-party rights, including intellectual property rights or privacy rights.

13. Termination

13.1 Termination by You

You may cancel your subscription at any time by contacting support@autroid.ai or using the account management features within the platform. Cancellation takes effect at the end of the current billing period. No refund is issued for the remaining portion of a paid billing cycle.

13.2 Termination by Autroid

Autroid may suspend or terminate your access to the Service, with or without notice, if:

You materially breach these Terms and fail to remedy the breach within 14 days of written notice.
You fail to pay subscription fees when due, after 14 days past the due date.
Your use of the Service poses a security risk, legal risk, or harm to other users or Autroid.
We are required to do so by applicable law or regulatory authority.

13.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. You will have 30 days from the termination date to request export of Your Data. After this period, Autroid may permanently delete Your Data, subject to legal retention requirements. Provisions of these Terms that by their nature should survive termination (including Sections 6, 10, 11, 12, 14, and 15) shall survive.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved by good-faith negotiation shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

Before initiating formal legal proceedings, each party agrees to attempt good-faith resolution of any dispute by providing written notice of the dispute and allowing 30 days for negotiation.

15. General Provisions

Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and Autroid with respect to the Service and supersede all prior agreements.
Severability — If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
Waiver — Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment — You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Autroid may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices — Legal notices from Autroid may be sent to your registered email address or posted within the Service. Notices from you to Autroid must be sent to legal@autroid.ai.
Force Majeure — Neither party shall be liable for delays or failure to perform obligations due to causes beyond their reasonable control, including natural disasters, governmental acts, or infrastructure outages.

16. Changes to These Terms

Autroid reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email to registered administrators and/or an in-app notification. The updated Terms will be posted at app.autroid.com/terms-of-service with an updated "Last Updated" date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
